Acceptance of Terms

Your use of WaveBeat Studio services constitutes your full acceptance of these Terms and any supplementary agreements, including licensing agreements executed per individual project. If you do not agree with any portion of these Terms, you must not use our services.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active clients and posted on our website. Continued use of services after modification constitutes acceptance of the updated Terms.

Services Provided

WaveBeat Studio provides professional audio production services including:

• Beat Licensing — Non-exclusive and exclusive licensing of pre-produced instrumental beats under three tiered licensing agreements (Basic, Premium, Exclusive).
• Custom Beat Production — Original instrumental beat production made to client specifications, delivered with appropriate usage rights per individual agreement.
• Full Track Production — Complete end-to-end music production including arrangement, sound design, and instrumental composition.
• Vocal Editing — Professional editing of vocal recordings including cleanup, pitch correction, timing adjustment, and mix preparation.
• Mixing & Mastering — Professional audio engineering services including full-song mixing and final mastering for digital distribution.
• Music for Brands & Content — Custom sync-licensed music for advertising, digital content, and commercial use.

Orders, Payments & Deposits

All custom production services (Custom Beat Production, Full Track Production, Vocal Editing, Mixing & Mastering, Music for Brands) require a 50% non-refundable deposit prior to the commencement of work. The remaining 50% balance is due upon final file delivery and before transfer of usage rights.

Beat licensing transactions under the catalog are payable in full at the time of purchase. License rights transfer upon confirmed payment.

All prices are quoted and payable in United States Dollars (USD). Accepted payment methods include major credit cards, PayPal, bank transfer (domestic and international), and Stripe-processed transactions. Cryptocurrency payments may be accepted at our discretion on a case-by-case basis.

All applicable taxes are the responsibility of the Client unless otherwise specified in writing.

Project Timelines & Delivery

Project timelines are estimates communicated at the start of each project and are subject to change based on Client responsiveness, revision complexity, and scope adjustments. Typical delivery windows are:

• Custom Beat Production — 5 to 10 business days for initial draft
• Full Track Production — 10 to 21 business days for initial draft
• Vocal Editing — 3 to 7 business days
• Mixing & Mastering — 5 to 10 business days

Delays caused by Client feedback, missing reference materials, or incomplete source files are not the responsibility of WaveBeat Studio and will extend the delivery timeline accordingly. Rush delivery is available at additional cost as specified in project quotes.

Revisions

Each project includes a defined number of revision rounds as specified in the project agreement. Standard inclusions:

• Custom Beat Production — up to 3 revision rounds
• Full Track Production — up to 4 revision rounds
• Mixing & Mastering — up to 2 revision rounds per song
• Vocal Editing — up to 2 revision rounds

Additional revisions beyond the included rounds are billed at $49 per revision round. Requests for fundamental direction changes after initial approval will be quoted as new projects at our discretion.

Intellectual Property & Licensing

Beat Licensing (Non-Exclusive): Under Basic and Premium licenses, the producer retains ownership of the underlying composition and master recording. The Client receives a non-exclusive license to use the beat within the limits defined in the specific licensing agreement (stream counts, video views, territory, etc.).

Exclusive Licensing: Upon execution of an Exclusive License and full payment, the beat is removed from our catalog. Ownership rights transfer as explicitly defined in the Exclusive License agreement. Producer retains the right to be credited as composer unless waived in writing.

Custom Production: Upon full payment, Client receives full usage rights to the final delivered work. Producer retains the moral right to attribution and may reference the work in their portfolio unless a non-disclosure agreement is in place.

All Clients agree to provide appropriate producer credit ("Produced by WaveBeat Studio") where applicable under their licensing tier.

Client Responsibilities

Client is responsible for:

• Providing clear creative direction, references, and all source materials required for the project.
• Responding to communication and feedback requests in a timely manner (within 7 business days, unless otherwise agreed).
• Ensuring that any materials provided to WaveBeat Studio (lyrics, vocal recordings, samples, references) do not infringe on third-party copyrights or other rights.
• Honoring all financial obligations under the agreed payment schedule.
• Reporting any delivery issues, technical problems, or discrepancies within 7 calendar days of receiving final files.

Limitation of Liability

To the maximum extent permitted by applicable law, WaveBeat Studio's total liability for any claim arising out of or relating to services provided shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

WaveBeat Studio shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or loss of business opportunities, even if advised of the possibility of such damages.

We do not guarantee commercial success, chart performance, streaming metrics, viral outcomes, or audience reception of any work delivered. Creative outcomes are inherently subjective.

Force Majeure

WaveBeat Studio shall not be held liable for delays or failure to perform services resulting from events beyond reasonable control, including but not limited to natural disasters, power outages affecting studio operations, pandemics, government actions, internet service disruptions, or equipment failure not attributable to negligence. In such cases, timelines will be adjusted proportionally upon restoration of normal operating conditions.

Termination

Either party may terminate an ongoing project with written notice. In the event of Client-initiated termination:

• The 50% deposit is non-refundable.
• If substantial work has been completed, additional fees may be due pro-rata for work performed.
• No rights or files are transferred to the Client until applicable payments are cleared.

WaveBeat Studio reserves the right to terminate services and issue a proportional refund in cases of abusive conduct, repeated contract violations, illegal content requests, or material breach of these Terms by the Client.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved first through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Joplin, Missouri, or to the appropriate court of competent jurisdiction in Jasper County, Missouri.

Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining Terms shall remain in full force and effect.

These Terms, together with any project-specific written agreements, constitute the entire agreement between the Client and WaveBeat Studio regarding the subject matter herein, superseding any prior communications or agreements.
